Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SessionWise sp. z o.o., a company registered in Poland (KRS: 0000803658, NIP: 5272905462, REGON: 384349430), with its registered office at Grzybowska 87, 00-844 Warsaw, Poland ("SessionWise," "we," "us," or "our") governing your access to and use of the SessionWise platform, including but not limited to the web application located at app.sessionwise.dev, the marketing website at sessionwise.dev, the SessionWise command-line interface ("CLI"), application programming interfaces ("APIs"), Model Context Protocol ("MCP") servers, and any related software, documentation, or services (collectively, the "Service").

By creating an account, installing the CLI, accessing the Service, or clicking "I Agree" (or similar affirmation), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of an organization, company, or other legal entity ("Organization"), you represent and warrant that you have the authority to bind that Organization to these Terms, and "you" and "your" shall refer to both you individually and the Organization.

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

2. Service Description

SessionWise is a software-as-a-service ("SaaS") platform designed for AI coding session knowledge management. The Service enables software developers and engineering teams to:

  • Capture, analyze, and store knowledge extracted from AI coding sessions with tools such as Claude Code, Cursor, Gemini CLI, GitHub Copilot, and other supported tools;
  • Organize knowledge into "nuggets" (structured units of captured knowledge including problems, solutions, code examples, and patterns);
  • Redistribute knowledge across teams and projects via local MCP servers;
  • Analyze session data using artificial intelligence to identify patterns, antipatterns, and actionable insights;
  • Manage organizational knowledge bases with role-based access controls.

The Service consists of a cloud-hosted web application and dashboard, a locally installed CLI tool, and MCP server components that run on your machine. All sensitive data is encrypted end-to-end using envelope encryption (XChaCha20-Poly1305 AEAD) with encryption keys that remain on your local device.

3. Account Registration and Security

To access certain features of the Service, you must register for an account. You may register using a supported OAuth provider (currently GitHub or Google) or other methods made available by SessionWise.

You agree to:

  • Provide accurate, current, and complete information during registration;
  • Maintain and promptly update your account information to keep it accurate and complete;
  • Maintain the security and confidentiality of your authentication credentials, API keys, and encryption keys;
  • Accept responsibility for all activities that occur under your account;
  • Immediately notify SessionWise of any unauthorized use of your account or any security breach.

You are solely responsible for safeguarding your organization's Key Encryption Key (KEK) and any local encryption keys. SessionWise does not have access to your KEK and cannot recover encrypted data if you lose your encryption keys. Loss of your KEK will result in permanent inability to decrypt your stored data.

SessionWise reserves the right to suspend or terminate any account that we reasonably believe has been compromised or is being used in violation of these Terms.

4. Subscription Plans and Billing

4.1 Plans

4.2 Free Trials

Certain paid plans (currently the Team plan) may include a free trial period of 14 days. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial expires. We reserve the right to modify or discontinue trial offers at any time without notice.

4.3 Billing and Payment

All paid subscriptions are billed in advance on a monthly or annual basis, as selected at the time of purchase. Annual billing offers savings of up to 20% compared to monthly billing. Payment is processed through our third-party payment processor, Stripe. By subscribing to a paid plan, you authorize SessionWise (via Stripe) to charge the applicable fees to your designated payment method.

4.4 Auto-Renewal

All paid subscriptions automatically renew at the end of each billing period (monthly or annually) at the then-current rate unless you cancel your subscription before the renewal date. You may cancel auto-renewal at any time through your account settings or by contacting our support team.

4.5 Price Changes

SessionWise reserves the right to modify subscription pricing at any time. For existing subscribers, price changes will take effect at the start of the next billing cycle following at least 30 days' written notice (via email or in-app notification). Continued use of the Service after a price change constitutes acceptance of the new pricing.

4.6 Refund Policy

All fees are non-refundable except where required by applicable law. No refunds or credits will be issued for partial subscription periods, unused features, downgrade of plans mid-cycle, or periods where the Service was available but you chose not to use it. If you cancel a subscription, you will retain access to paid features until the end of your current billing period.

EU Consumer Rights: If you are a consumer in the European Union, you may have a 14-day right of withdrawal under Directive 2011/83/EU. For digital content supplied before the withdrawal period expires, you may be asked to provide express consent and acknowledge that your right of withdrawal is lost once the Service begins (in accordance with Article 16(m) of the Directive). If you do not waive this right, you may withdraw within 14 days of purchase for a full refund.

4.7 Taxes

All fees are exclusive of applicable taxes (including VAT, GST, and sales tax) unless otherwise stated. You are responsible for paying all taxes associated with your use of the Service, except for taxes based on SessionWise's net income.

5. Usage Limits and Fair Use

Each subscription plan has specific usage limits as described in Section 4.1 above. These limits include, but are not limited to, the number of stored nuggets, monthly sessions, projects, and team seats.

  • Exceeding limits: If you reach or exceed your plan's limits, certain functionality may be restricted or throttled. You will be notified when approaching limits and given the opportunity to upgrade your plan.
  • Rate limits: API endpoints are subject to rate limiting (currently 5 requests per IP per minute for public endpoints). Nugget capture is subject to per-plan limits with a minimum interval of 30 seconds between captures. Attempting to circumvent rate limits is a violation of these Terms.
  • Fair use: "Unlimited" features on paid plans are subject to a fair use policy. We define fair use as usage consistent with normal, individual or team-based software development workflows. Usage that is automated, programmatic, or significantly exceeds typical patterns for your plan tier may be considered a violation.

SessionWise reserves the right to modify usage limits, rate limits, and fair use thresholds at any time with reasonable notice to affected users.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation;
  • Upload, transmit, or store any content that infringes any third party's intellectual property rights, trade secrets, or proprietary rights;
  • Upload, transmit, or store malware, viruses, trojans, worms, or any other malicious code;
  • Attempt to gain unauthorized access to the Service, other user accounts, computer systems, or networks connected to the Service;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service, except to the extent expressly permitted by applicable law;
  • Scrape, crawl, or use automated means to access the Service or extract data, except through officially provided APIs and within their documented rate limits;
  • Interfere with or disrupt the integrity or performance of the Service, including denial-of-service attacks or resource exhaustion attacks;
  • Resell, sublicense, or redistribute the Service or any portion thereof without prior written consent from SessionWise;
  • Use the Service to build a competing product or service, or to benchmark the Service for competitive purposes;
  • Create multiple free accounts to circumvent plan limits;
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity;
  • Use the Service to store or transmit content that is illegal, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, or otherwise objectionable;
  • Attempt to circumvent, disable, or interfere with any security features of the Service, including encryption mechanisms.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, at SessionWise's sole discretion, with or without notice.

7. Intellectual Property

7.1 Your Content

You retain all ownership rights in and to any content, code, session transcripts, nuggets, and other materials that you submit, upload, or create through the Service ("Your Content"). SessionWise does not claim ownership of Your Content.

7.2 License to SessionWise

By using the Service, you grant SessionWise a limited, non-exclusive, worldwide, royalty-free license to process, transmit, store (in encrypted form), and display Your Content solely as necessary to provide and operate the Service. This license includes the right to process Your Content through third-party AI services (such as Anthropic AI models and Google Cloud Vertex AI) for the purpose of generating analysis and extracting knowledge nuggets. This license terminates when you delete Your Content or terminate your account.

Important distinction regarding encryption: Your session content is temporarily processed in plaintext by third-party AI providers (via secure TLS connections) during the analysis phase of the session upload pipeline. After AI analysis is complete, the extracted knowledge and session data are encrypted on your local device using your KEK before being transmitted to our servers for storage. Once encrypted and stored on our servers, SessionWise cannot access, read, or decrypt Your Content. The license granted herein applies to the temporary plaintext processing by AI providers during analysis, and to the encrypted form of Your Content for storage, transmission, and Service operations.

7.3 SessionWise Intellectual Property

The Service, including its software, source code, algorithms, user interface, design, documentation, trademarks, logos, and all related intellectual property, is and remains the exclusive property of SessionWise and its licensors. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use the Service in accordance with these Terms.

7.4 Feedback

If you provide SessionWise with any feedback, suggestions, ideas, or recommendations regarding the Service ("Feedback"), you grant SessionWise an irrevocable, perpetual, non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and incorporate such Feedback into the Service without any obligation to you.

7.5 Aggregated and Anonymized Data

SessionWise may collect and use aggregated, anonymized, and de-identified data derived from your use of the Service (which does not identify you or any individual) for any lawful business purpose, including product improvement, analytics, and benchmarking. Such aggregated data is not considered Your Content.

8. Data and Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into and forms part of these Terms.

SessionWise employs end-to-end encryption (XChaCha20-Poly1305 AEAD with envelope encryption) to protect the confidentiality of your stored session data, nuggets, and other sensitive content. Your Key Encryption Key (KEK) is generated and stored locally on your device's operating system keychain and is never transmitted to our servers. As a result, SessionWise cannot decrypt, access, or read your encrypted content at rest on our servers. Note: during the session upload pipeline, session content is temporarily processed in plaintext by third-party AI providers (via TLS-encrypted connections) before being encrypted locally and stored. See our Privacy Policy for full details on this processing flow.

Certain metadata (such as session identifiers, timestamps, organization identifiers, and usage metrics) is stored in plaintext to enable Service functionality. The categories of encrypted and plaintext data are described in detail in our Privacy Policy.

By using the Service, you acknowledge and agree that you are responsible for maintaining the security and backup of your encryption keys. SessionWise is not liable for any loss of data resulting from your failure to safeguard your encryption keys.

9. CLI Software License

Subject to your compliance with these Terms, SessionWise grants you a limited, non-exclusive, non-transferable, revocable license to install and use the SessionWise CLI tool on devices that you own or control, solely for the purpose of accessing and using the Service.

You agree that you will not:

  • Copy, modify, or distribute the CLI software except as expressly permitted;
  • Reverse engineer, decompile, or disassemble the CLI software, except to the extent permitted by applicable law;
  • Remove, alter, or obscure any proprietary notices or labels on the CLI software;
  • Use the CLI software to develop a competing product or service;
  • Sublicense, lease, rent, or loan the CLI software to any third party.

The CLI software stores data locally on your device using SQLite databases. This local data is protected by your operating system's native security mechanisms. SessionWise is not responsible for the security of data stored locally on your device beyond the encryption mechanisms built into the CLI software.

SessionWise may release updates to the CLI software from time to time. While we recommend keeping the CLI updated for security and compatibility, you are responsible for installing updates. Older versions of the CLI may cease to function if they are incompatible with current Service APIs.

10. API Usage

SessionWise may provide APIs for programmatic access to the Service. Use of the APIs is subject to these Terms and any additional API-specific terms or documentation published by SessionWise.

  • API access is subject to rate limits as described in Section 5 and in our API documentation;
  • You must not exceed or attempt to circumvent rate limits;
  • API keys and access tokens must be kept confidential and must not be shared or embedded in client-side code;
  • SessionWise reserves the right to modify, deprecate, or discontinue APIs or API endpoints at any time with reasonable notice;
  • You are responsible for ensuring that your integrations comply with these Terms and all applicable laws.

11. Service Level and Availability

SessionWise strives to provide reliable and continuous access to the Service; however, we do not guarantee any specific level of availability or uptime. The Service is provided on an "as available" basis.

  • The Service may be temporarily unavailable due to scheduled maintenance, upgrades, or factors beyond our reasonable control;
  • We will endeavor to provide advance notice of scheduled maintenance when practical, but are not obligated to do so;
  • SessionWise is not liable for any downtime, data loss, or interruption in service, whether scheduled or unscheduled;
  • For Enterprise plan customers, separate Service Level Agreements (SLAs) may be negotiated and executed independently from these Terms.

12. Disclaimers and Limitation of Liability

12.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SESSIONWISE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

SESSIONWISE MAKES NO WARRANTY OR REPRESENTATION REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED ANALYSIS, KNOWLEDGE NUGGETS, PATTERN DETECTION, ANTIPATTERN IDENTIFICATION, OR OTHER OUTPUT PRODUCED BY THE SERVICE. AI-GENERATED CONTENT IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS THE SOLE BASIS FOR ANY DECISION. YOU ACKNOWLEDGE THAT AI ANALYSIS MAY CONTAIN ERRORS, INACCURACIES, OR OMISSIONS.

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SESSIONWISE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF SESSIONWISE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SESSIONWISE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO SESSIONWISE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

The limitations in this section apply regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis. Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

12.3 Encryption and Data Loss

You acknowledge that end-to-end encryption means SessionWise cannot recover your data if you lose your encryption keys. SessionWise shall not be liable for any data loss, corruption, or inaccessibility resulting from: (a) loss of your Key Encryption Key (KEK); (b) failure of your local device or operating system keychain; (c) corruption of local SQLite databases; or (d) any other circumstances beyond SessionWise's reasonable control.

13. Indemnification

You agree to indemnify, defend, and hold harmless SessionWise, its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service or any activity under your account;
  • Your Content or any data you submit, upload, or process through the Service;
  • Your violation of these Terms or any applicable law or regulation;
  • Your violation of any third-party rights, including intellectual property rights, privacy rights, or proprietary rights;
  • Any claim that Your Content caused damage to a third party;
  • Your negligent or wrongful acts or omissions.

SessionWise reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims. You will not settle any claim without SessionWise's prior written consent.

14. Termination

14.1 Termination by You

You may cancel your subscription and terminate your account at any time through your account settings or by contacting support. Cancellation will take effect at the end of your current billing period; you will continue to have access to paid features until that date. No refunds will be issued for the remaining portion of any prepaid billing period.

14.2 Termination by SessionWise

SessionWise reserves the right to suspend or terminate your account and access to the Service, in whole or in part, at any time and for any reason, including but not limited to:

  • Violation of these Terms or the Acceptable Use Policy;
  • Non-payment of applicable fees;
  • Engagement in fraudulent or illegal activity;
  • Extended inactivity (accounts inactive for more than 12 months may be subject to deletion);
  • Request by law enforcement or government agencies;
  • Discontinuation of the Service or any portion thereof.

Where practicable, SessionWise will provide notice prior to termination and an opportunity to export your data, unless the termination is due to a violation of these Terms that requires immediate action.

14.3 Effect of Termination

Upon termination: (a) your right to use the Service immediately ceases; (b) SessionWise may delete your account data, including encrypted data, after a reasonable retention period (typically 30 days); (c) you remain responsible for any fees incurred prior to termination; (d) provisions that by their nature should survive termination (including Sections 7, 12, 13, 16, and 17) shall survive.

You may request deletion of all your data prior to or following termination by using the CLI command sessionwise org purge-dev --id <dev_id> or by contacting support.

15. Modifications to Terms

SessionWise reserves the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on our website with a revised "Last Updated" date;
  • Sending an email notification to the address associated with your account;
  • Displaying an in-app notification within the Service.

Material changes will not take effect sooner than 30 days after notice is provided, except where changes are required to comply with legal requirements, in which case they may take effect immediately. Your continued use of the Service after the effective date of modified Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and terminate your account.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland and applicable European Union law, without regard to conflict of law provisions.

For users residing in the European Union or European Economic Area, nothing in these Terms shall limit your rights under mandatory consumer protection laws in your country of residence.

Any disputes arising from or relating to these Terms that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts located in Warsaw, Poland, except where applicable law requires otherwise (for example, EU consumers may bring claims in the courts of their country of residence).

17. Dispute Resolution

Before initiating any formal legal proceedings, you agree to attempt to resolve any dispute informally by contacting SessionWise at the contact information provided in Section 24. We will attempt to resolve the dispute informally within 60 days.

If informal resolution is unsuccessful, any disputes shall be resolved through binding arbitration administered by a recognized arbitration institution in Warsaw, Poland, in accordance with its applicable rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

Any arbitration shall be conducted on an individual basis. You waive any right to participate in a class action, class arbitration, or representative proceeding, to the extent permitted by applicable law.

For users residing in the European Union, this dispute resolution clause does not limit your right to bring claims before the competent courts of your country of residence under applicable EU law, or to use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

18. Force Majeure

SessionWise shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond its reasonable control, including but not limited to: natural disasters, pandemics, epidemics, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, accidents, strikes, labor disputes, power failures, internet or telecommunications infrastructure failures, cyberattacks, government actions, or failures of third-party service providers (including but not limited to cloud hosting providers, AI service providers, and payment processors).

19. Free Tier Specific Terms

The Individual Free plan is provided at SessionWise's discretion and is subject to the following additional terms:

  • The free tier may be modified, limited, or discontinued at any time without prior notice;
  • Free tier users receive community-based support only; no guaranteed response times or dedicated support channels are provided;
  • SessionWise reserves the right to impose additional restrictions, feature limitations, or usage caps on free tier accounts;
  • Free tier accounts that are inactive for more than 6 months may be deleted after notice;
  • SessionWise may display in-app notifications or communications encouraging upgrade to a paid plan;
  • The free tier is intended for individual evaluation and personal use only; commercial use of the free tier in a team or organizational context requires a paid plan.

20. Team and Organization Terms

If you create or manage an Organization account on the Service:

  • Admin Responsibility: The Organization administrator ("Admin") is responsible for managing team members, configuring Organization settings, and ensuring that all members of the Organization comply with these Terms.
  • Member Management: The Admin is responsible for inviting and removing team members. The Admin is responsible for all activity conducted by members of their Organization.
  • Billing: The Admin or designated billing contact is responsible for payment of all fees associated with the Organization's subscription plan, including per-seat charges for all active team members.
  • Data Governance: The Admin is responsible for establishing and enforcing data governance policies within the Organization, including decisions about shared knowledge bases, project access, and member permissions.
  • Key Management: The Organization is responsible for managing its Key Encryption Key (KEK) and ensuring appropriate key distribution among authorized team members. SessionWise does not manage key distribution or recovery for Organizations.
  • Member Departure: When a team member leaves the Organization, the Admin is responsible for revoking access and managing any knowledge contributed by that member in accordance with the Organization's internal policies.
  • Data Processing Agreement (DPA): For Team, Business, and Enterprise plan customers where the Organization acts as a data controller under GDPR, a Data Processing Agreement is available upon request at legal@sessionwise.dev. Enterprise customers may negotiate a custom DPA as part of their service agreement. A standard DPA is required under GDPR Article 28 when we process personal data on behalf of your Organization.

21. Beta and Preview Features

SessionWise may from time to time offer features, tools, or integrations designated as "beta," "preview," "experimental," "early access," or similar labels ("Beta Features"). By accessing or using Beta Features:

  • You acknowledge that Beta Features are provided "as is" and may contain bugs, errors, or deficiencies;
  • Beta Features may be modified, suspended, or discontinued at any time without notice;
  • Data created or processed using Beta Features may be lost or incompatible with future versions of the Service;
  • Beta Features are not covered by any SLA, and SessionWise makes no guarantees regarding their availability, reliability, or performance;
  • Your use of Beta Features constitutes acceptance of additional risk, and SessionWise's liability for Beta Features is limited to the fullest extent permitted by law;
  • Feedback regarding Beta Features may be used by SessionWise in accordance with Section 7.4.

22. Third-Party Services

The Service integrates with and relies upon various third-party services, including but not limited to Supabase (database and authentication), Stripe (payments), Anthropic (AI analysis), Google Cloud Vertex AI (AI analysis), Voyage AI (embeddings), Resend (email), Vercel (hosting), and GitHub/Google (OAuth authentication).

Your use of these third-party services is subject to their respective terms of service and privacy policies. SessionWise is not responsible for the acts, omissions, availability, or security practices of third-party service providers. Any issues arising from third-party services should be directed to the respective provider.

SessionWise reserves the right to change, add, or remove third-party service integrations at any time. We will provide notice of changes that materially affect the Service's functionality.

23. General Provisions

23.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and SessionWise with respect to the Service and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and SessionWise regarding the Service. Enterprise customers may have separate agreements that supplement or modify these Terms.

23.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.

23.3 Waiver

The failure of SessionWise to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by SessionWise.

23.4 Assignment

You may not assign or transfer these Terms or your rights or obligations hereunder, in whole or in part, without the prior written consent of SessionWise. SessionWise may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

23.5 Notices

All notices required or permitted under these Terms shall be in writing and shall be deemed given when: (a) sent by email to the address associated with your account (for notices to you) or to legal@sessionwise.dev (for notices to SessionWise); or (b) posted on the Service.

23.6 Headings

Section headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.

23.7 Export Compliance

You agree to comply with all applicable export control and sanctions laws and regulations. You represent that you are not located in any country subject to comprehensive sanctions, and that you are not listed on any government restricted party list.
